Articles Part I General Article 1 (Purpose) The present articles purpose to provide details on the use of Internet services provided in the Internet translation shopping mall (¡°services¡±) run by ¡°PHD Korean-English Translation Service Inc¡± (¡°PHD¡±). Article 2 (Definitions) ¨ç "PHD" is a virtual workplace through which services are provided to users through IT facilities including the computer. ¨è "User" is one who logs on PHD site and uses services provided by PHD according to the present articles. ¨é "PHD link site" is a website hyperlinked to PHD (using an object such as text, image or video). ¨ê "Personal information¡± means information such as name and resident registration number with which a specific person can be identified (including data that, combined with other information, can be used for identification). Article 3 (Posting and changing the articles) ¨ç The present articles can be found in PHD (www.phd.co.kr). ¨è For any inevitable reason, PHD may change the articles and such a change and the articles after the change shall be posted on PHD. Article (Contents of service and changes in the contents) ¨ç PHD provides services as follows: 1. Give information on PHD services and make translation service contracts; 2. Deliver the results of translation requested by users; 3. Offer other services defined by PHD. ¨è For any inevitable reason, PHD may change the contents of service. ¨é If PHD changes the contents of its service for a reason under the provision above, it shall not compensate users for any damage caused by the change unless the damage results from PHD's purposeful or material fault. Article 5 (Stoppage of service) ¨ç PHD may stop the provision of service temporarily for any reason including maintenance, repair or replacement of equipment including the system, system failure, communication disruption or any events beyond control. ¨è PHD shall not compensate users or third parties for any damage caused by temporary stoppage of the provision of service for any reason under the provision above unless the damage results from PHD's purposeful or material fault. Article 6 (Working rules) Any matter not provided in the clauses shall follow the Framework Act on Electronic Commerce, Digital Signature Act, the Door to Door Sales, etc. Act and other relevant laws in Korea. Part II Membership Contract Article 7 (Signing in) ¨ç PHD users shall apply for membership by filling a form specified by PHD and expressing agreement upon the present articles. ¨è PHD shall register those who have applied for membership following the procedure specified above excluding ones belonging to any of the followings: 1. One who lost the membership status under Article 8-3 of the present articles; 2. One whose report has been proved to be false or contains errors or omissions; 3. One whose signing up may cause significant technical or operational troubles to PHD; ¨é The membership contract is effective from PHD's approval of the application for membership. ¨ê When applying for membership, the user can register his/her electronic mail address together. ¨ë In cases there is any change in personal details, the user must inform PHD of the change immediately by electronic mail or any other means. Article (Withdrawal from membership) ¨ç Any member who intends to withdraw from membership shall send PHD an application for withdrawal by email. ¨è Any member who has died loses his/her membership status automatically. ¨é Any member who belongs to any of the followings may be deprived of his/her membership status. 1. One whose report in registration has been proved to be false 2. One who does not pay any price for purchased service or any obligation in relation to the use of service within the due date 3. One who disturbs the operation of PHD by changing information provided by PHD or in any other way 4. One who violate any provision in the present articles 5. One who is considered to be inadequate to maintain the membership status Article 9 (Notification to members) ¨ç PHD may give a notice to the members using the electronic mail addresses provided by the members. ¨è In case a notice is to all of the registered members, PHD may post the notice on the news board instead of sending email to individual members. Article (Mileage point for members) When a PHD member purchases a service, mileage point occur to the member at a rate of 1/1000 of the price of the purchased service under Article 19, and the mileage point may be used to purchase other services or be paid in cash (when the total payment for service within the last 6 months is over US$3,000.00). Part III Translation service contract Article 11 (Request for service) PHD members can request translation service through the procedure below: ¨ç Take the following procedure to request service on the Internet (PHD); A. Enter name, address, telephone number, electronic mail address B. Select payment method and deadline ¨è How to request by telephone; ¨é How to request by fax. Article 12 (Conclusion of contract) ¨ç PHD shall accept any request made according to procedure specified above unless the request belongs to any of the followings: 1. The contents of the request have been proved to be false or contain errors or omissions; 2. The acceptance of the request may cause significant technical or operational troubles to PHD. ¨è The contract is considered to be effective at the point of acceptance by PHD. Part IV Payment Article 13 (Payment method) ¨ç Payment for service or service request can be made only through online credit card payment or bank account transfer. 1. Payment should be made in advance with a credit card or bank account transfer as specified on the PHD website. 2. For any request for translation service, translation work begins with the confirmation that the translation fee has been paid through ¡°bank account transfer¡± or ¡°credit card payment.¡± ¨è In case a request is made from overseas, Article 13-1 is applied in the same way. Article 14 (delay) In case credit card payment is delayed for any service or service request, the clauses of the credit card company designated by the user are applied. If the credit card company informs PHD of the invalidity or rejection to sell for the credit card, PHD shall suspend its service to the user (disable the use of ID and password) and contact the user to check if he/she may change the payment method from the following month. If the credit card member cannot be reached with the information provided to PHD or the change of payment method has not be confirmed under a specific date, PHD shall terminate the contract with the user and withdraw the membership status. Part V Delivery, cancellation, refund Article 15 (Domestic delivery) ¨ç The due date of delivery shall be set based on the date of order and the number of days to be taken as specified in the estimate. - Delivery shall be made by email (except the day of order and legal holidays): - Delivery shall not be made on legal holidays or other off days. - In case payment is made through bank account transfer, the due date of delivery shall be set based on the date of confirming the payment/transfer. - Any period of force majeure including natural disasters shall be not counted in the number of days to be taken for delivery. ¨è In case a service or the provision of service requested is not available due to the discontinuation of the service (absence of stock) or for any other reason, PHD shall take a necessary action to refund within three days from the date of payment and inform the user of the reason. Article 16 (Overseas delivery) ¨ç Same as domestic delivery under Article 15 Article 17 (Cancellation and refund) ¨ç For any of the following reasons, a user who requested a service may cancel the request during the day of payment. If the requested service is under way, however, PHD shall deduct a proportion from the refund of payment with providing the outcome, and if payment was made with a credit card the user shall pay the proportion with a credit card and the first credit card payment shall be cancelled within the following weekday. Part IV Obligations of PHD and users Article 18 (Protection of personal information) ¨ç PHD shall collect the least necessary information about users as follows, and other personal details are optional. 1. Name 2. Address 3. Telephone number 4. User ID (for members) 5. Password (for members) ¨è When collecting users' personal information, PHD shall get the users' agreement except the following cases. 1. It is forced by law. 2. It is necessary for the execution of electronic transaction contract. 3. It is necessary for the settlement of charges for the provision of goods and services. ¨é PHD is solely responsible for any loss in users caused by PHD's unauthorized use of personal information or its disclosure of personal information to a third party without the users' prior consent. However, the following cases are exceptional. 1. Personal information may be used by a delivery company for the purpose of delivery. 2. Personal information may be used for statistics, promotional materials, research, etc. where specific persons; identities are not exposed. ¨ê Users can request the retrieval, correction and deletion of their personal information at any time and, by the request, PHD must take an action as requested immediately. ¨ë Personal information shall be managed by the least number of PHD staffs in charge of personal information, and the persons in charge are responsible for the loss, disclosure, leakage and alteration of personal information. ¨ì If the purpose of collecting or receiving personal information has been achieved, the related personal information shall be discarded immediately. ¨í Order sheets and other documents related to payment shall be maintained in PHD for five years and any documents that need to be maintained longer shall be kept separately. Article 19 (Protection of payment information) ¨ç For users' safe use of Internet service and protecting individuals' payment information, PHD shall observe the following principles and make utmost efforts to maintain the highest systematic and technical environment. 1. Operate the best security system to protect personal credit information. 2. Limit the job of offline credit card authorization to one person, make regular internal audit and, if any problem is found, take proper actions to prevent the problem. ¨è PHD is solely responsible for any incident related to personal credit information involving credit cards, bank accounts, etc. Article 20 (PHD's obligation) ¨ç PHD shall do its best to provide uninterrupted stable service as stated in the present articles. ¨è PHD shall take technical security measures to protect personal information including users' credit information. ¨é PHD shall do its best to maintain the commercial order of e-commerce through fair and sound operation, and contribute to the development of Internet business by providing high-quality services and maximizing customers' satisfaction through continuous research and development. ¨ê PHD shall provide active cooperation to consumer protection agencies in collecting data necessary for consumer protection campaigns. Article 21 (Obligations related to user ID and password) ¨ç When using PHD, the members must use ID and password. ¨è Users are responsible for managing ID and password. ¨é The members must not allow a third party to use their ID and password. ¨ê The members are responsible for any loss caused by their inadequate management or misuse of ID and password or by a third party's use of ID and password. ¨ë Finding that ID and password have been disclosed to others or used by a third party, the members must inform PHD of the disclosure or use and follow PHD's instruction, if any. Article 22 (Users' obligations) ¨ç Users must not do the followings: 1. Give false information in application or change; 2. Change information posted in PHD; 3. Post unnecessary information (computer programs, etc.); 4. Violate PHD's intellectual property rights including copyrights; 5. Disturb PHD's operation; 6. Defame PHD or hinder its business; 7. Post obscene or violent messages, images, videos, sounds, etc; 8. Do any actions that PHD regards as inadequate. ¨è If any information as listed above or that is regarded as inadequate for the operation of PHD website is posted or linked, PHD may delete the information or the link without the consent of one who posted the information or the link. However, PHD is not obliged to delete such information or link. Part VII Miscellaneous Article 23 (Relation between PHD and linked sites) ¨ç PHD does not take any responsibility for services provided by websites linked to PHD. ¨è PHD and its linked sites run their business independently from each other, and PHD does not take any responsibility for transactions between users and the linked sites. Article 24 (Copyright and restriction on the use of copyrights) ¨ç PHS reserves the copyright and any other intellectual property rights for the mall developed by PHD. ¨è Users must not use or allow a third party to use information obtained from PHD for profit by copying, sending, publishing, distributing or broadcasting information without PHD's prior consent (this is not applicable for users' personal use). Article 25 (Arbitration) ¨ç PHD runs the Compensation Committee (PHD Customer Service Center) in order to hear users' opinions and complaints and to compensate for any damage. ¨è In case a user has a complaints about the use of PHD or wants to express an opinion, he/she may submit the complaint or opinion to the Compensation Committee. ¨é PHD shall take necessary actions as soon as possible on receiving any complaint or opinion that is considered reasonable. If an immediate action cannot be taken for a good reason, PHD shall inform the user of the reason and schedule for the matter. Article 26 (Competent court) Any legal action related to the present article shall be brought to the Seoul District Court.
